Kana Closed Beta — Terms of Use

1. This is pre-release software

Kana, the Kanaeru orchestrator, the Kanaeru Agent Manager, the Kanaeru CLI, and the Kanaeru harness plugins, skills, agents, and prompts (together, the “Software”) are made available to you for evaluation and feedback only, in a closed beta. Access is by invitation only. The Software is incomplete, changes without notice, and may contain defects.

Nothing here is a commitment to release the Software, to keep any feature, or to enter into a commercial agreement.

2. Licence granted to you

Kanaeru Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software during the evaluation period, solely to evaluate it and give us feedback.

No other rights are granted. Any right not expressly granted here is reserved by Kanaeru Labs.

3. What you may not do

You may not copy, modify, reverse engineer, decompile, disassemble, redistribute, sublicense, sell, rent, lease, or provide the Software to any third party, except as expressly authorised in writing by Kanaeru Labs.

You may not extract, retain, or reuse the Kanaeru harness content — including plugins, skills, agents, commands, hooks, rules, templates, and prompts — outside the Software, and you may not use it to build, train, or improve a competing product or service.

You may not install, run, or attempt to obtain the Kanaeru Agent Manager or the Kanaeru CLI on any machine unless Kanaeru Labs has authorised that machine for your account in writing. Your account may be provisioned without the ability to add machines; do not attempt to work around that.

You may not remove or obscure any proprietary notice, and you may not circumvent any technical access control or usage limit in the Software.

4. Confidentiality

The Software and everything you learn about it through your evaluation — its design, prompts, skills, agents, architecture, documentation, roadmap, pricing, and performance — is confidential information of Kanaeru Labs.

You will not disclose it to anyone outside your organisation, will not publish screenshots, benchmarks, or evaluations of it, and will protect it with at least the care you use for your own confidential information. This obligation survives the end of your evaluation.

5. Ownership

Kanaeru Labs owns all right, title, and interest in the Software, including all intellectual property rights in it. Your evaluation transfers nothing.

You keep ownership of the source code, repositories, documents, and other content you bring to or create with the Software (“Your Content”). You grant us the limited right to process Your Content to operate the Software for you and to diagnose problems.

6. Feedback

If you give us feedback, ideas, bug reports, or suggestions, you grant Kanaeru Labs a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or obligation to you. Do not send us feedback that you are not free to give on these terms.

7. AI-generated output

The Software runs autonomous AI agents that read, write, and execute code and that act on connected systems such as source repositories and issue trackers. Its output may be wrong, incomplete, insecure, or unsuitable for your purpose.

You are responsible for reviewing anything the Software produces before you rely on it, merge it, deploy it, or act on it. Do not connect the Software to a production system, and do not give it credentials or access you are not prepared to have an automated agent use.

8. Your data during the closed beta

Do not put personal data, regulated data, payment data, or third-party confidential information into the Software during the closed beta. Beta environments are not certified for it.

Beta data is not backed up and may be changed, reset, or deleted at any time, including when your evaluation ends. Keep your own copy of anything you need. Where personal data is unavoidably processed, we handle it in accordance with the Act on the Protection of Personal Information of Japan.

9. Availability

There is no service level commitment during the closed beta. We may change, suspend, limit, or discontinue the Software or your access to it at any time, with or without notice.

10. No warranty

The Software is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, Kanaeru Labs is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising from or relating to the Software or these terms.

12. Term and termination

Either of us may end your evaluation at any time, for any reason. We may suspend or terminate your access immediately if you breach these terms.

When your evaluation ends, stop using the Software and delete any copy of it and of our confidential information in your possession. Sections 3 through 6 and 10 through 13 survive.

13. Governing law

These terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance over any dispute arising from them.

If you have a separate written agreement with Kanaeru Labs and it conflicts with these terms, the written agreement controls.
